Ruvo Terms of Use

Last updated: September 22, 2026

These Terms of Use ("Terms") constitute a binding agreement governing your access to and use of Ruvo.

By registering for a Ruvo account, checking the applicable acceptance box, clicking to accept these Terms, or otherwise using the Ruvo Platform, you confirm that you have read, understood, and agreed to these Terms and Ruvo's Privacy Policy.

The Ruvo Platform is operated by Ruvo Financial Inc., a Delaware corporation ("Ruvo," "we," "us," or "our"). Ruvo Financial Inc. is wholly owned by Cacao Financial Intermediate Holdings LLC, a Delaware limited liability company, which is wholly owned by Cacao Financial Holdings Limited, a Cayman Islands exempted company.

For purposes of these Terms, the "Ruvo Platform" includes Ruvo's websites, mobile applications, software, interfaces, APIs, wallet interface, and other technology made available under the Ruvo brand.

If you use Ruvo on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to these Terms.

Important Notice Regarding Self-Custody

RUVO IS NOT A BANK AND DOES NOT PROVIDE BANK DEPOSIT ACCOUNTS.

Ruvo provides technology that allows users to access self-custodial wallet functionality and services provided by independent third-party infrastructure providers.

Digital assets accessible through a self-custodial wallet are not held by Ruvo.

Ruvo does not take beneficial ownership of assets in your self-custodial wallet and does not possess or control the private keys necessary to move those assets on your behalf.

Where fiat payments, conversion, cards, bank-account infrastructure, payment rails, or other regulated services are made available through Ruvo, those underlying services are provided by independent third-party providers.

Ruvo may provide the software interface, transmit your instructions, display information, coordinate workflows, facilitate onboarding, and integrate those services into a unified user experience.

Ruvo does not become the custodian of your assets merely because you interact with a third-party service through the Ruvo Platform.

Blockchain transactions may be irreversible. Ruvo generally cannot cancel, reverse, or recover a blockchain transaction once it has been validly submitted and confirmed.

You are responsible for protecting the devices, passkeys, authentication methods, wallet credentials, and other security mechanisms used to control your account and wallet.

Digital assets held in self-custodial wallets are not bank deposits and are not insured by the FDIC, SIPC, or any comparable deposit or investor protection scheme merely because they are accessible through Ruvo. Any protections applicable to assets or funds held by an Infrastructure Partner are governed by that provider's terms and applicable law

1. Eligibility and Jurisdictional Scope

1.1 Nature of the Ruvo Platform

Ruvo provides software and technology services.

The Ruvo Platform may enable you to:

  • create or access a self-custodial wallet;
  • view digital-asset balances;
  • send and receive digital assets;
  • access fiat on-ramp and off-ramp providers;
  • access Pix, ACH, wire, RTP, or other payment infrastructure;
  • convert between supported currencies or digital assets through third-party providers;
  • access card functionality;
  • access additional financial or blockchain-related functionality offered by third-party providers.

The availability of services varies by jurisdiction, user type, provider, and product.

1.2 Local Law

You are responsible for ensuring that your use of Ruvo is permitted in the jurisdiction where you reside, operate, or access the Ruvo Platform.

Ruvo may restrict access based on:

  • jurisdiction;
  • applicable law;
  • sanctions;
  • provider requirements;
  • compliance considerations;
  • risk considerations.

You may not use Ruvo for unlawful activity, including fraud, money laundering, sanctions evasion, terrorist financing, tax evasion, trafficking, purchase or sale of illegal goods, or other prohibited conduct.

1.3 Compliance Controls

Although Ruvo operates principally as a technology and orchestration platform, Ruvo and its Infrastructure Partners may maintain controls intended to prevent fraud, money laundering, sanctions violations, and other unlawful conduct.

These controls may include:

  • identity verification;
  • business verification;
  • transaction monitoring;
  • sanctions screening;
  • wallet screening;
  • source-of-funds inquiries;
  • enhanced due diligence;
  • transaction restrictions.

These controls do not transfer ownership or custody of self-custodial assets to Ruvo.

1.4 Sanctions and Restricted Persons

You represent and warrant that you are not subject to applicable sanctions or restrictive measures imposed or administered by the United States, United Nations, European Union, United Kingdom, Brazil, or any other applicable governmental authority.

You further represent that you will not use the Ruvo Platform for or on behalf of, or for the benefit of, any sanctioned, blocked, or restricted person, entity, organization, or jurisdiction, except where expressly permitted by applicable law or authorization.

You agree not to take any action intended to evade or circumvent applicable sanctions or restrictions.

1.5 Age and Legal Capacity

You must be at least 18 years old and legally capable of entering into these Terms.

You may not permit a minor or legally incapable person to use your credentials or account.

Ruvo may suspend access where it reasonably determines that an account is being used by an ineligible person.

2. Ruvo Services

2.1 Technology Provider

Ruvo provides software designed to facilitate interaction with blockchain networks and independent infrastructure providers.

Depending on the particular feature, Ruvo may:

  • display information;
  • transmit user instructions;
  • assemble transaction instructions;
  • route requests to providers;
  • display quotes;
  • facilitate identity-verification workflows;
  • provide software used to interact with wallets;
  • integrate payment rails;
  • provide customer support.

Ruvo does not itself become the counterparty to every transaction initiated through the Ruvo Platform merely because the transaction is initiated through Ruvo.

2.2 Self-Custodial Wallet

Certain Ruvo functionality allows users to access a self-custodial wallet.

Ruvo does not own assets associated with that wallet.

The user remains responsible for the wallet and its authentication mechanisms.

Ruvo does not have unilateral authority to transfer digital assets out of the user's self-custodial wallet.

2.3 Platform Account vs. Wallet

Your Ruvo Account and your self-custodial wallet are separate concepts.

Your Ruvo Account allows access to Ruvo's software, settings, activity information, support, and integrated services.

Your wallet is the blockchain-based mechanism through which supported digital assets are held and transferred.

Suspension of your Ruvo Account does not by itself transfer ownership or custody of assets in your wallet to Ruvo.

2.4 Blockchain Networks

Ruvo may allow interaction with one or more supported blockchain networks.

Blockchain transactions may depend on:

  • validators;
  • smart contracts;
  • protocol infrastructure;
  • network congestion;
  • gas availability;
  • third-party RPC or node providers;
  • other technical systems outside Ruvo's control.

Ruvo cannot guarantee confirmation time, finality, availability, or cost of a blockchain transaction.

2.5 Third-Party Services

Ruvo integrates services provided by independent third parties ("Infrastructure Partners").

These may include providers of:

  • wallet technology;
  • fiat payments;
  • virtual accounts;
  • ACH and wire infrastructure;
  • Pix infrastructure;
  • currency conversion;
  • digital-asset conversion;
  • card issuance;
  • card processing;
  • identity verification;
  • fraud screening;
  • blockchain infrastructure;
  • liquidity;
  • yield or other financial functionality.

Using a particular service may require you to accept additional terms directly with the relevant provider.

Ruvo may replace or add Infrastructure Partners from time to time.

2.6 Cards

Any physical or virtual card made accessible through Ruvo is issued and administered by the applicable card issuer or program partner and not by Ruvo unless expressly stated otherwise.

Ruvo provides the technology through which users may access the card functionality.

Card usage may be subject to:

  • cardholder terms;
  • issuer policies;
  • Visa or other network rules;
  • transaction restrictions;
  • merchant restrictions;
  • spending limits;
  • geographic restrictions;
  • compliance controls.

The issuer or provider may approve, decline, suspend, restrict, or terminate card functionality under its own rules.

2.7 Fees

Ruvo may charge fees for access to or use of certain services.

Fees may include:

  • platform fees;
  • transaction fees;
  • conversion fees;
  • foreign-exchange fees;
  • spreads;
  • performance fees;
  • other disclosed charges.

Applicable Ruvo fees will be displayed or otherwise disclosed before the applicable transaction or pursuant to a separate commercial agreement.

Fees charged by Ruvo are distinct from fees charged by Infrastructure Partners, blockchain networks, banks, card networks, or other third parties.

2.8 No Fiduciary Relationship

Unless expressly agreed otherwise in writing, these Terms do not create a fiduciary relationship between you and Ruvo.

Ruvo does not assume discretionary authority over your assets merely because it provides the software through which you interact with them.

2.9 Quotes and Routing

Ruvo may display estimated rates, exchange rates, conversion rates, routing options, fees, and amounts expected to be received.

Market conditions may change rapidly. Quotes identified as estimates may change before execution.

Unless Ruvo expressly identifies a quote as firm or guaranteed for a specified period, displayed rates, fees, and expected amounts may change before execution as a result of:

  • market movement;
  • provider pricing;
  • blockchain conditions;
  • network costs;
  • settlement timing; or
  • third-party fees.

Where Ruvo identifies a quote as firm or guaranteed for a specified period, the quoted rate will apply if the transaction is validly confirmed within that period and satisfies the conditions displayed with the quote, subject to applicable transaction limits and any circumstance that causes the transaction to fail, expire, or be rejected.

3. Account Registration and Identity

3.1 Ruvo Account

You may be required to create a Ruvo Account.

Your Ruvo Account may store:

  • account preferences;
  • contact information;
  • transaction history;
  • settings;
  • provider-integration status;
  • compliance information.

A Ruvo Account is not itself a bank account, payment account, or custodial account.

3.2 Identity Verification

Ruvo and its Infrastructure Partners may require you to provide information to verify your identity.

Information may include:

  • legal name;
  • date of birth;
  • residential address;
  • telephone number;
  • email;
  • government identification;
  • taxpayer identification;
  • photograph;
  • biometric verification;
  • other information reasonably required for verification.

3.3 Business Accounts

Businesses may be required to provide:

  • legal entity name;
  • registration information;
  • tax identification;
  • address;
  • ownership information;
  • beneficial owners;
  • directors;
  • controlling persons;
  • financial information;
  • invoices;
  • contracts;
  • source-of-funds information;
  • other documentation.

The person creating a business account represents that they have authority to act for and bind the business.

3.4 Additional Information

Ruvo or an Infrastructure Partner may request additional information at any time concerning:

  • you;
  • your business;
  • counterparties;
  • transactions;
  • source of funds;
  • source of wealth;
  • economic purpose;
  • expected account activity.

Failure to provide reasonably requested information may result in limitations, delays, rejected transactions, suspension, or termination.

3.5 Authorized Business Users

A business is responsible for activity performed by persons it authorizes to use its Ruvo Account.

The business must promptly revoke access for any person who should no longer be authorized.

Ruvo may rely on instructions submitted through properly authenticated business access unless Ruvo reasonably determines that the instruction may be unauthorized.

3.6 Account Access and Transfer Restrictions

Personal Accounts may not be sold, transferred, rented, shared, or otherwise made available for use by another person.

Business Accounts may be accessed only by duly authorized users through functionality supported by Ruvo.

You may not permit another person to access or use your Ruvo Account through your credentials, device, passkey, or other authentication method except as expressly permitted by Ruvo.

A Business Account holder is responsible for promptly revoking access for any person who is no longer authorized to use the Business Account.

4. Transactions, Blockchain, and Fiat Integrations

4.1 Transaction Authorization

When you initiate a transaction through Ruvo, you authorize Ruvo to transmit the corresponding instruction to the applicable blockchain network or Infrastructure Partner.

You are responsible for checking:

  • amount;
  • recipient;
  • currency;
  • asset;
  • wallet address;
  • blockchain network;
  • bank information;
  • Pix information;
  • fees;
  • exchange rate.

4.2 Fiat On-Ramp and Off-Ramp Services

Ruvo may integrate services allowing conversion between fiat currencies and digital assets.

The underlying fiat settlement, conversion, payment processing, or regulated service is performed by Infrastructure Partners.

Ruvo itself does not take custody of fiat funds simply because the transaction is initiated through the Ruvo interface.

Intermediate settlement or conversion may occur within Infrastructure Partners' systems pursuant to their technical and regulatory architecture

4.3 Brazil and BRL Settlement

Ruvo may facilitate transactions involving Brazilian reais ("BRL") and supported digital assets, including U.S. dollar-denominated stablecoins.

Where Ruvo facilitates conversion or settlement between BRL and supported digital assets, the underlying regulated activities are performed through licensed or otherwise duly authorized Infrastructure Partners, including virtual asset service providers ("VASPs"), payment providers, financial institutions, and other regulated intermediaries, as applicable.

Ruvo may provide the technology interface, transmit user instructions, coordinate transaction flows, display quotes and transaction information, and integrate the applicable Infrastructure Partners into the Ruvo Platform.

The applicable Infrastructure Partners are responsible for the regulated activities they perform under their own licenses, registrations, authorizations, compliance programs, terms, and legal obligations.

Transactions involving BRL may rely on Brazilian payment infrastructure, including Pix and other local payment rails, through the applicable licensed or authorized providers.

Ruvo may add, replace, or change the Infrastructure Partners used for BRL settlement and related services, subject to applicable law and provider requirements.

4.4 Fiat Rail Failures

Transactions dependent on Pix, ACH, wire, RTP, SWIFT, card networks, or other fiat rails may fail, be delayed, rejected, returned, or require additional review.

These systems are operated by independent providers.

Where possible, Ruvo may assist you in communicating with the relevant provider and investigating the issue.

Remedies, refunds, reversals, and settlement procedures remain subject to the applicable provider and payment rail.

4.5 Provider Decisions

Infrastructure Partners may independently:

  • impose limits;
  • decline transactions;
  • block functionality;
  • require additional verification;
  • terminate access to their service;
  • reject counterparties;
  • restrict jurisdictions;
  • return transactions.

Ruvo may be required to reflect those restrictions within the Ruvo Platform.

You may not circumvent provider restrictions by misrepresenting your identity, jurisdiction, transaction purpose, or other information.

4.6 Blockchain Finality

Once a valid transaction has been submitted to and confirmed by a blockchain network, the transaction may be irreversible.

Ruvo generally cannot:

  • cancel it;
  • modify it;
  • reverse it;
  • recover assets sent to an incorrect address.

You must verify transaction information before authorizing a blockchain transaction.

4.7 Network Fees

Blockchain transactions may require network or gas fees.

Such fees may fluctuate according to network demand.

Where Ruvo or a provider facilitates or abstracts payment of network fees, the applicable charge may be included in or deducted from the transaction and disclosed through the Platform.

4.8 Unsupported Assets

A blockchain wallet may technically receive assets that Ruvo does not display or support.

An asset's absence from the Ruvo interface does not necessarily mean that the asset no longer exists on-chain.

Ruvo may add or discontinue visual support for particular assets or networks.

4.9 Blockchain and Smart Contract Risks

Blockchain technologies may involve:

  • smart-contract bugs;
  • exploits;
  • protocol attacks;
  • validator failures;
  • forks;
  • network congestion;
  • oracle failures;
  • bridge failures;
  • stablecoin depegging;
  • token issuer failures;
  • cybersecurity incidents.

You acknowledge these risks when authorizing blockchain transactions.

4.10 Prohibited Blockchain Activity

You may not knowingly use Ruvo to facilitate:

  • market manipulation;
  • wash trading;
  • pump-and-dump schemes;
  • exploitation of smart-contract vulnerabilities;
  • theft;
  • hacking;
  • sanctions evasion;
  • unlawful securities activity;
  • other unlawful conduct.

4.11 Returns, Reversals, Chargebacks, and Corrections

Certain fiat or card transactions may be returned, reversed, charged back, recalled, or corrected after initial processing.

You remain responsible for amounts properly owed as a result of such events.

Where an Infrastructure Partner determines that an amount must be repaid, reversed, returned, or otherwise satisfied, Ruvo or the applicable Infrastructure Partner may restrict access to relevant services or functionality until the obligation is resolved.

Any such restriction does not give Ruvo custody of or ownership over assets held in your self-custodial wallet.

5. Operational Limits

Ruvo and its Infrastructure Partners may impose limits on use of particular functionality.

Limits may concern:

  • transaction amount;
  • daily volume;
  • monthly volume;
  • number of transactions;
  • currencies;
  • digital assets;
  • counterparties;
  • cards;
  • countries;
  • payment rails.

Limits may depend on:

  • verification level;
  • account type;
  • transaction history;
  • risk assessment;
  • provider requirements;
  • legal or regulatory obligations.

Limits may vary among users.

6. Suspension, Restriction, and Termination

6.1 Ruvo Platform Access

Ruvo may refuse to transmit a transaction instruction, temporarily restrict functionality, suspend access, or terminate access to the Ruvo Platform where reasonably necessary.

Ruvo may, for example:

  • restrict login;
  • disable transaction initiation;
  • suspend card-access functionality;
  • prevent access to a particular Infrastructure Partner;
  • restrict a particular product;
  • terminate the Ruvo Account.

6.2 Grounds

Ruvo may take such action if:

  • you breach these Terms;
  • Ruvo reasonably suspects fraud or unlawful activity;
  • Ruvo identifies a security threat;
  • information you provided is inaccurate or misleading;
  • you fail to provide requested compliance information;
  • an Infrastructure Partner requires the restriction;
  • an authority requires the restriction;
  • applicable law requires it;
  • your activity presents unacceptable legal, compliance, operational, or security risk;
  • you engage in prohibited competitive use described below.

6.3 Emergency Protection

Ruvo may temporarily disable or restrict functionality in response to:

  • cyberattack;
  • security vulnerability;
  • provider outage;
  • blockchain failure;
  • stablecoin depeg;
  • material technical instability;
  • suspected account compromise;
  • other urgent security circumstances.

Such restrictions concern Ruvo-controlled software and integrations.

They do not transfer ownership or custody of self-custodied blockchain assets to Ruvo.

6.4 Effect of Suspension

Suspending or terminating Ruvo access does not itself give Ruvo possession or ownership of assets in your self-custodial wallet.

Where technically available through the wallet infrastructure, you may be able to access your wallet independently of Ruvo.

Your ability to use fiat rails, cards, or other Infrastructure Partner functionality may nevertheless be restricted by the relevant provider.

6.5 Service Discontinuation

Ruvo may modify, discontinue, or replace functionality or Infrastructure Partners.

Where reasonably practicable, Ruvo will endeavor to provide advance notice of material planned discontinuations.

6.6 Account Closure by User

You may request to close your Ruvo Account at any time by contacting Ruvo at ajuda@ruvo.com or legal@ruvo.com.

Ruvo will process a closure request within a reasonable time. Certain records may be retained after closure where required by applicable law, including AML/CFT recordkeeping obligations, or by an Infrastructure Partner's own requirements.

Closing your Ruvo Account does not itself affect your self-custodial wallet or the assets held in it. Where technically available through the wallet infrastructure, you may continue to access your wallet independently of Ruvo after closure, consistent with Section 6.4.

Handling of your personal data upon account closure is governed by Ruvo's Privacy Policy.

7. Liability, Warranties, and Financial Risks

7.1 Third-Party Disputes

Ruvo is generally not a party to disputes between you and:

  • payment providers;
  • card issuers;
  • banks;
  • counterparties;
  • blockchain validators;
  • liquidity providers;
  • smart-contract developers;
  • protocol operators;
  • token issuers.

Ruvo may provide support or assistance but does not guarantee resolution.

7.2 Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Ruvo, its affiliates, directors, officers, employees, and agents against reasonable losses, liabilities, claims, costs, and expenses arising from:

  • your material breach of these Terms;
  • unlawful use of Ruvo;
  • false information supplied by you;
  • transactions initiated without appropriate authority;
  • violations of third-party rights;
  • deliberate prohibited competitive use.

7.3 Liability Cap

To the fullest extent permitted by law, except for fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited, Ruvo's total aggregate liability arising from the Ruvo Platform will not exceed the greater of:

(a) US$500; or

(b) the total fees paid directly to Ruvo by you during the twelve months preceding the event giving rise to the claim.

The value of assets held in a self-custodial wallet will not by itself determine Ruvo's liability because those assets are not held by Ruvo.

7.4 Excluded Losses

To the fullest extent permitted by law, Ruvo will not be liable for losses resulting from:

  • loss or compromise of user credentials;
  • unauthorized device access;
  • user-approved fraudulent transactions;
  • incorrect addresses;
  • incorrect networks;
  • blockchain failure;
  • smart-contract failure;
  • third-party provider failure;
  • bank or payment-network failure;
  • card-network failure;
  • stablecoin depeg;
  • market volatility;
  • protocol insolvency;
  • network congestion;
  • loss of anticipated profit;
  • indirect or consequential damages.

7.5 "As Is" Service

The Ruvo Platform is provided on an "as is" and "as available" basis to the fullest extent permitted by law.

Ruvo does not guarantee uninterrupted or error-free operation.

Nothing displayed by Ruvo constitutes individualized legal, tax, or investment advice unless expressly agreed otherwise.

7.6 Yield Functionality

Where Ruvo makes yield-generating functionality available, the functionality may depend on independent providers, blockchain protocols, smart contracts, counterparties, or other infrastructure.

Displayed APYs, yields, or rates are estimates and may change.

Ruvo does not guarantee:

  • principal;
  • yield;
  • fixed returns;
  • availability;
  • liquidity;
  • future APYs.

Returns may be lower than displayed and may be zero or negative depending on the applicable product and risks.

Additional product-specific terms and risk disclosures may apply.

7.7 No Investment Advice

Ruvo does not provide individualized investment recommendations merely by displaying assets, yields, protocols, market data, or other financial information.

Users are responsible for deciding whether to use any optional yield or investment-related functionality.

7.8 Force Majeure

Ruvo will not be responsible for delay or failure resulting from circumstances beyond its reasonable control, including:

  • government action;
  • war;
  • terrorism;
  • civil unrest;
  • pandemics;
  • telecommunications failures;
  • internet failures;
  • provider outages;
  • blockchain failures;
  • smart-contract exploits;
  • major cyberattacks;
  • stablecoin depegs;
  • network halts;
  • forks;
  • oracle failures.

8. Platform Availability and Information Accuracy

8.1 Availability

Ruvo may experience:

  • downtime;
  • maintenance;
  • degradation;
  • latency;
  • provider failures;
  • network congestion.

Ruvo does not guarantee uninterrupted availability.

8.2 Self-Custody and Platform Availability

Ruvo Platform downtime does not itself transfer custody of self-custodied assets to Ruvo.

The underlying blockchain record remains independent of the Ruvo interface.

8.3 Displayed Information

Ruvo may display information obtained from:

  • blockchains;
  • Infrastructure Partners;
  • exchanges;
  • market-data providers;
  • pricing APIs;
  • oracles;
  • other third-party sources.

Such data may occasionally be delayed, incomplete, or inaccurate.

Where blockchain information conflicts with an interface display concerning an on-chain transaction, the applicable blockchain record governs the transaction's on-chain status.

8.4 Third-Party Links

Ruvo may display links or integrations to third-party services.

Ruvo does not automatically endorse or guarantee all information, products, or services provided through external websites or applications.

9. Promotions, Cashback, Referrals, and Rewards

Ruvo may offer:

  • referral programs;
  • cashback;
  • signup promotions;
  • promotional pricing;
  • fee waivers;
  • credits;
  • rewards.

Separate campaign-specific terms may apply.

Ruvo may modify or terminate a promotion prospectively.

Ruvo may disqualify participants or cancel, withhold, or recover rewards obtained through abuse, including:

  • duplicate accounts;
  • false information;
  • self-referrals;
  • collusion;
  • fabricated transactions;
  • circular transactions;
  • automation intended to manipulate rewards;
  • transactions conducted primarily to obtain a reward;
  • transactions later reversed or refunded;
  • other fraudulent activity.

Rewards denominated in digital assets may fluctuate in value.

10. Customer Support and Disputes

10.1 Support

Users may contact Ruvo through:

Support: ajuda@ruvo.com

Legal notices: legal@ruvo.com

Ruvo may also provide official support channels through the Ruvo Platform.

10.2 Scope of Support

Ruvo may assist with:

  • account access;
  • interface problems;
  • transaction investigation;
  • provider coordination;
  • card-integration issues;
  • verification issues;
  • product functionality.

Because of the self-custodial nature of certain functionality, Ruvo may be technically unable to:

  • reverse a final blockchain transaction;
  • recover assets sent to an incorrect wallet;
  • override a blockchain network;
  • recover credentials that Ruvo does not possess;
  • compel an Infrastructure Partner to approve a transaction.

10.3 Informal Resolution

Before commencing formal proceedings, the parties agree, where permitted by law, to attempt in good faith to resolve the matter informally.

A party raising a dispute should provide sufficient information to understand the issue and requested remedy.

Ruvo will have up to 30 days after receiving sufficient information to investigate and respond, unless urgent injunctive relief or mandatory law requires otherwise.

10.4 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflicts-of-law principles, except to the extent mandatory consumer-protection or other applicable law requires otherwise.

Any product-specific terms may specify a different governing law where the underlying service requires it.

10.5 Exclusive Jurisdiction and Venue

Except to the extent applicable mandatory law requires otherwise, any dispute, claim, or proceeding arising out of or relating to these Terms, the Ruvo Platform, or your use of Ruvo that is not resolved through the informal resolution process above shall be brought exclusively in the state or federal courts located in the State of Delaware, United States.

You and Ruvo consent to the personal jurisdiction of those courts and waive, to the fullest extent permitted by applicable law, any objection based on improper venue, inconvenient forum, or lack of personal jurisdiction.

Nothing in this Section prevents Ruvo from seeking temporary, preliminary, or injunctive relief in any court of competent jurisdiction where reasonably necessary to protect Ruvo's intellectual property, confidential information, systems, security, or prevent unauthorized access or misuse.

Where applicable mandatory consumer-protection or other law gives you the right to bring a claim in another forum, this Section will apply only to the extent permitted by that law.

11. Privacy and Data

Ruvo may collect and process personal data in accordance with the Ruvo Privacy Policy.

Ruvo may process information for purposes including:

  • providing the Platform;
  • onboarding;
  • security;
  • KYC/KYB;
  • fraud prevention;
  • AML/CFT;
  • sanctions compliance;
  • customer support;
  • transactions;
  • provider integrations;
  • legal compliance.

Ruvo may share information with Infrastructure Partners where reasonably necessary to provide services or comply with applicable obligations.

Blockchain transactions are generally public and immutable.

Information written to a public blockchain may not be technically capable of deletion or modification by Ruvo.

Ruvo may disclose information to authorities where required by valid legal process or applicable law.

12. Security and User Responsibilities

12.1 Credentials and Devices

You are responsible for securing:

  • your devices;
  • email;
  • telephone number;
  • account credentials;
  • passkeys;
  • biometric access;
  • password managers;
  • wallet authentication mechanisms.

12.2 Self-Custody

Ruvo's ability to assist with application access is different from control over the blockchain wallet.

Ruvo does not possess the private key simply because Ruvo provides the wallet interface.

12.3 Phishing and Social Engineering

You are responsible for verifying that you are interacting with an official Ruvo website, application, or communication channel.

Ruvo cannot generally reverse a blockchain transaction you authorize after being deceived by:

  • phishing;
  • impersonation;
  • malware;
  • fake support;
  • social engineering.

12.4 Suspected Compromise

If you believe your Ruvo Account or device has been compromised, contact Ruvo immediately.

Ruvo may suspend interface access or connected services while investigating.

Because Ruvo does not custody self-custodial assets, blocking access to Ruvo's interface does not necessarily prevent an attacker with valid wallet credentials from interacting directly with the blockchain.

13. Infrastructure Partners

Ruvo relies on independent Infrastructure Partners to provide functionality that Ruvo does not itself provide.

Depending on the product, these partners may provide:

  • wallet infrastructure;
  • fiat on/off ramps;
  • USD receiving infrastructure;
  • ACH;
  • wire;
  • Pix;
  • card issuance;
  • card processing;
  • KYC/KYB;
  • digital-asset conversion;
  • liquidity;
  • settlement.

You authorize Ruvo to transmit information reasonably necessary to enable these services.

Infrastructure Partners may impose their own:

  • terms;
  • eligibility requirements;
  • compliance procedures;
  • transaction limits;
  • jurisdiction restrictions.

Ruvo may change Infrastructure Partners without amending these Terms where the fundamental nature of the Ruvo Platform remains unchanged.

14. Passkeys and Authentication

14.1 Passkeys

Ruvo may use passkeys or similar cryptographic authentication technology to protect user access and authorize wallet actions.

A passkey may be stored through your operating system, device, cloud account, password manager, or other compatible credential manager.

14.2 Ruvo Does Not Receive Your Biometrics

Where Face ID, Touch ID, fingerprint recognition, or similar device biometrics are used to approve a passkey action, biometric matching generally occurs locally through the device or operating-system provider.

Ruvo receives the resulting authentication response rather than your raw biometric information.

14.3 User Responsibility

You are responsible for controlling access to:

  • your device;
  • operating-system account;
  • passkey manager;
  • biometrics registered on the device;
  • associated email account.

A person capable of authenticating through your authorized device may be able to authorize actions.

14.4 Third-Party Passkey Services

Ruvo does not control third-party credential managers or operating systems.

Ruvo does not guarantee continued compatibility with every:

  • Apple;
  • Google;
  • Microsoft;
  • password-manager;
  • hardware;
  • operating-system

implementation.

14.5 Recovery

Where account or wallet recovery functionality is available, it will operate according to the applicable technical architecture and may depend on Ruvo's wallet infrastructure provider or other third-party technology.

Recovery functionality is not guaranteed to succeed in every situation.

You are responsible for maintaining access to the authentication and recovery mechanisms made available to you.

15. Bona Fide Use and Competitor Access

15.1 Genuine Customer Purpose

The Ruvo Platform is intended for genuine users and prospective users of Ruvo's services.

By creating or using a Ruvo Account, you represent that you are accessing Ruvo for a bona fide personal or business purpose relating to actual or reasonably prospective use of Ruvo.

15.2 Prohibited Competitive Use

You may not create, maintain, or use a Ruvo Account primarily:

  • on behalf of a competitor for competitive intelligence;
  • to test Ruvo's services on behalf of a competitor;
  • to probe Ruvo's onboarding or compliance processes;
  • to gather non-public pricing information;
  • to investigate Ruvo's provider relationships;
  • to benchmark non-public functionality;
  • to consume Ruvo's support, compliance, engineering, management, or provider resources without a bona fide customer purpose;
  • to materially assist a competitor in replicating Ruvo's non-public systems or processes.

You may not misrepresent your employer, affiliation, identity, or intended purpose in order to obtain access.

Employment by or association with another fintech company does not by itself prohibit legitimate use of Ruvo.

15.3 Remedies

Ruvo may immediately suspend or terminate accounts used for deliberate prohibited competitive activity.

Ruvo may cancel or recover promotional benefits obtained through such activity.

You may also be responsible for reasonable losses and costs directly arising from the prohibited conduct, including the reasonable value of:

  • employee time;
  • compliance time;
  • engineering time;
  • support time;
  • contractor time;
  • management time;
  • executive or founder time;
  • provider costs;
  • investigation expenses;
  • legal expenses.

15.4 Liquidated Damages

Where a person knowingly creates or uses an account in a commercial capacity primarily on behalf of, at the direction of, or for the benefit of a competing business for prohibited competitive intelligence, testing, or resource consumption, the parties acknowledge that the resulting harm may be difficult to determine precisely.

To the extent permitted by applicable law, US$5,000 per account or material incident will constitute liquidated damages representing a reasonable estimate of difficult-to-quantify harm resulting from such deliberate conduct and is not intended as a penalty.

Ruvo will not recover duplicative damages for the same harm.

Nothing in this Section prevents Ruvo from seeking injunctive relief or other remedies available under applicable law.

16. General Provisions

16.1 Legal Compliance

You agree to comply with applicable law.

You represent that assets and funds used through Ruvo have a lawful source and are not knowingly connected to illegal activity.

16.2 Intellectual Property

Ruvo's:

  • trademarks;
  • logos;
  • source code;
  • interfaces;
  • designs;
  • graphics;
  • documentation;
  • proprietary software

are owned by Ruvo or its licensors.

Ruvo grants you a limited, revocable, non-exclusive, non-transferable right to use the Ruvo Platform for its intended purposes.

You may not reproduce, redistribute, reverse engineer, or commercially exploit Ruvo technology except where expressly authorized or where applicable law prevents such restriction.

16.3 No Partnership or Agency

These Terms do not create a partnership, joint venture, franchise, employment relationship, fiduciary relationship, or general agency relationship between you and Ruvo.

16.4 Taxes

You are responsible for determining, reporting, and paying taxes that apply to your transactions or activities.

Ruvo does not provide tax advice.

Ruvo may provide tax or transaction information where required by law but does not assume responsibility for your individual tax obligations.

16.5 Dormant Accounts and Self-Custody

Because Ruvo does not take custody of assets held in your self-custodial wallet, inactivity on the Ruvo Platform does not itself cause those assets to become property of Ruvo.

Treatment of balances maintained through third-party custodial or fiat services, if any, is governed by the relevant provider's terms and applicable law.

16.6 Death or Incapacity

Ruvo may cooperate with properly documented legal representatives regarding a Ruvo Account where required by law.

However, Ruvo cannot provide access to self-custodial assets if Ruvo does not possess the cryptographic credentials necessary to authorize those assets.

Users should consider appropriate digital-estate planning.

16.7 Entire Agreement

These Terms, Ruvo's Privacy Policy, and any applicable supplemental, product-specific, commercial, or order-form terms entered into between you and Ruvo constitute the agreement between you and Ruvo concerning the Ruvo Platform and the applicable services.

Certain Infrastructure Partners may separately require you to enter into agreements directly with them. Those agreements govern your relationship with the applicable Infrastructure Partner and do not make that Infrastructure Partner a party to these Terms.

16.8 Assignment

Ruvo may assign these Terms in connection with:

  • a merger;
  • acquisition;
  • financing;
  • corporate reorganization;
  • asset sale;
  • transfer to an affiliate;
  • change of control.

You may not transfer your rights under these Terms without Ruvo's consent.

16.9 Modifications

Ruvo may modify these Terms from time to time.

The updated version will state the effective date.

Material changes may be communicated electronically where appropriate or required.

Your continued use of Ruvo after updated Terms take effect constitutes acceptance to the extent permitted by applicable law.

16.10 Electronic Communications

You agree that Ruvo may provide:

  • contracts;
  • notices;
  • disclosures;
  • legal notices;
  • statements;
  • policy updates;
  • communications

electronically.

Electronic communications may be delivered through email, push notification, in-app notice, the Ruvo website, SMS or other text messaging, WhatsApp or other messaging services, or telephone, using the contact information associated with your account.

You are responsible for maintaining accurate contact information.

16.11 Severability

If any provision is found unlawful or unenforceable, the remaining provisions remain in force.

16.12 Waiver

Ruvo's failure to enforce any provision on one occasion does not constitute a waiver of its right to enforce that provision later.

16.13 Survival

Provisions concerning:

  • outstanding obligations;
  • intellectual property;
  • taxes;
  • liability;
  • indemnification;
  • disputes;
  • competitive misuse;
  • applicable law

survive termination where appropriate.

16.14 Order of Precedence

If you and Ruvo enter into a separately executed commercial agreement, order form, or product-specific agreement, that agreement will control over these Terms solely to the extent of any direct conflict and with respect to the subject matter covered by that agreement. In all other respects, these Terms will continue to apply.
